Job Summary
A company is looking for a Senior Corporate Counsel.
Key Responsibilities
- Provide legal advice on federal securities laws, SEC rules, and NASDAQ requirements
- Draft and advise on SEC filings and corporate governance materials
- Lead corporate finance transactions and support Board of Directors' meetings
Required Qualifications
- J.D. degree with state bar membership (CA or NY preferred)
- 5+ years of legal experience in corporate and securities law
- Excellent knowledge of securities laws and regulations
- Solid corporate governance experience
- Familiarity with corporate finance transactions
